Share Issue Reminder – Return Your Voting Slips & Participation Details

As outlined in our previous communication, the Board has circulated written resolutions to all shareholders seeking approval for the strategic fundraising initiative to raise up to £16 million through the issue of new ordinary shares.

This update is to remind shareholders of the action required in relation to those resolutions and to provide further detail on how to participate in the proposed share issue.

There are two separate actions for shareholders to consider:

  1. Return your written resolution consent form (if not already submitted) by 22 April

  2. Submit your details if you wish to participate in the share issue by 17 April

You may complete either or both actions, depending on your intentions as a shareholder.


Return Your Written Resolution Consent Forms

If you have not yet returned your signed consent form, please do so as soon as possible. The deadline for returning your signed consent form is 22 April.

To approve the resolutions, please sign and date the consent form and return it to the Company Secretary, Graham Horsman, at Notifications@Rangers.co.uk.

The resolutions require:

  • More than 50% approval for the ordinary resolution (share allotment authority); and

  • 75% approval for the special resolution (waiver of pre-emption rights).

Participating in the Share Issue

We have received strong interest from existing shareholders who wish to participate in the forthcoming share issue. This update provides details on how you can express your interest and what information we will need from you.

Share Issue Terms

Subject to approval of the written resolutions, the Company is offering ordinary shares at a price of £0.20 per share. Due to strong demand, there are a limited number of shares available for allocation.

The Board intends to allocate shares on a pro-rata basis to existing shareholders who have expressed interest, having regard to their current shareholdings. Subject to availability, there may be an opportunity to allocate additional shares beyond the pro-rata entitlement.

Please note that there is a minimum participation threshold of 1,000 shares (representing a minimum investment of £200).

Information Required

To enable us to process your application, please provide the following information by 17 April:

Your investor number;

  • Your address;

  • Confirmation of the number of ordinary shares you currently hold in the Company;

  • A copy (or copies) of your share certificate(s); and

  • The number of shares you wish to apply for in the share issue.

Next Steps

Once we have received the required information from all interested shareholders, the Board will determine the final allocation. We will then write to you to confirm:

  • the number of shares allocated to you;

  • the total subscription amount payable;

  • payment instructions and bank details; and

  • the deadline for payment and completion of the subscription.
